These Terms of Service ("Terms") govern your access to and use of the Genassistant services, applications, and related features (the "Service"). By accessing or using the Service, you agree to be bound by these Terms.
If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization, and these Terms apply to that organization.
These Terms constitute the binding agreement between you and Genassistant. They are supplemented by, and incorporate by reference, the Genassistant Privacy Policy. In the event of any conflict, these Terms control with respect to Service use, billing, liability, and dispute resolution, and the Privacy Policy controls with respect to data handling and privacy matters.
Any statements made in marketing materials, product descriptions, documentation, or sales communications are provided for informational purposes only and do not modify these Terms.
Genassistant provides a hosted, cloud-based application that assists users with processing, organizing, summarizing, and drafting content based on information users authorize the Service to access. Genassistant does not provide downloadable or on-premise software.
The Service may evolve over time. Features may be added, modified, limited, or removed at any time without notice.
References to security practices, compliance frameworks, or future certifications are for informational purposes only and do not create contractual obligations unless expressly agreed in writing.
You are responsible for your use of the Service and for ensuring that your use complies with applicable laws, regulations, and organizational policies.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
The Service is not designed for, intended for, or suitable for processing information subject to specialized data protection, privacy, or regulatory regimes. This includes, without limitation, health information regulated under the Health Insurance Portability and Accountability Act (HIPAA); personal data subject to the General Data Protection Regulation (GDPR); payment card data or financial account credentials subject to PCI DSS or similar standards; information relating to children subject to child-specific data protection laws such as COPPA; classified, export-controlled, or restricted information subject to ITAR, EAR, or similar regulations; and biometric identifiers or genetic information.
You agree not to submit, process, or authorize the Service to access information subject to any such laws or regulations. Your use of the Service constitutes your representation and acknowledgment that Authorized Content does not include such information.
Genassistant does not knowingly receive or process regulated data under these frameworks, has no obligation to monitor for such data, and disclaims any responsibility or liability arising from a user's violation of this restriction.
You grant Genassistant permission to access, process, and analyze content that you authorize the Service to access ("Authorized Content") solely for the purpose of providing the Service.
You represent and warrant that you have all rights and permissions necessary to provide Authorized Content and to allow Genassistant to process it as described in these Terms.
You agree to use the Service only in a manner consistent with its intended purpose and your applicable subscription or agreement.
You agree not to use the Service in a manner that violates applicable law or infringes the rights of others. You agree not to attempt to reverse engineer, decompile, disassemble, or otherwise derive source code, underlying ideas, or algorithms from the Service, except to the extent such restrictions are prohibited by law. You agree not to interfere with, disrupt, degrade, or impair the Service, including by introducing malicious code, probing, scanning, or testing the vulnerability of the Service except as expressly authorized by Genassistant. You agree not to use the Service to build, train, benchmark, or improve a competing product or service, or to scrape, harvest, or extract Outputs or data at scale for such purposes. You agree not to circumvent, disable, or bypass access controls, rate limits, usage limits, or technical safeguards, or to attempt to access the Service in a manner not expressly permitted.
Without limiting the foregoing, the Service is not intended for use with shared inboxes, group mailboxes, or similar configurations that generate unusually high message volumes, automated traffic, or processing loads that are disproportionate to the applicable subscription tier. Use of the Service in a manner that imposes excessive or unreasonable processing, infrastructure, or operational costs is prohibited unless expressly authorized by Genassistant under a separate written agreement, such as a Master Services Agreement or Enterprise Contract.
Genassistant reserves the right to limit, suspend, throttle, degrade, or restrict access to the Service if usage materially exceeds reasonable or intended levels for the applicable subscription, violates these Terms, or otherwise circumvents pricing, usage limits, or technical safeguards.
The Service may assign categories, generate drafts, summaries, recommendations, or other Outputs using automated systems.
The Service and any outputs generated by it are intended to be assistive in nature and are provided to help users draft, organize, or review content at their direction. Outputs do not constitute legal, medical, financial, or other professional advice, and should not be relied upon as such. You acknowledge that automated systems may produce incorrect, incomplete, or misleading outputs. You are solely responsible for reviewing, verifying, and deciding whether to use any Output. Genassistant does not guarantee the accuracy, completeness, or suitability of Outputs for any purpose.
You acknowledge outputs may contain errors, omissions, or unintended content.
Outputs may vary over time based on model updates, system changes, or context. Prior Outputs or behavior do not guarantee future results.
Genassistant retains all right, title, and interest in and to the Service, including all software, models, algorithms, workflows, prompts, system Outputs, and underlying technology, excluding Authorized Content and Outputs.
You retain all right, title, and interest in and to Authorized Content.
Subject to these Terms, Genassistant grants you a non-exclusive, royalty-free right to use any drafts, summaries, or other Outputs generated by the Service ("Outputs") for your internal or business purposes, excluding any unauthorized use as specified herein. To the extent Outputs incorporate or are derived from Authorized Content, you retain ownership of such portions. Genassistant retains ownership of all aspects of the Service used to generate Outputs.
Certain features of the Service may require payment. Fees, billing terms, and subscription details will be disclosed at the time of purchase or activation.
Unless otherwise stated, fees are non-refundable. Genassistant may change pricing or billing terms upon notice.
Genassistant may suspend or terminate access to the Service if you violate these Terms or if required to do so by law.
You may stop using the Service at any time. Termination does not relieve you of any obligations incurred prior to termination.
Upon termination or expiration of your access to the Service, Genassistant may delete Authorized Content, Outputs, and other data associated with your account that is retained for operation of the Service. Deletion may occur immediately or within a reasonable period following termination. Genassistant has no obligation to retain, export, or preserve such data except as required by applicable law.
The Service is not designed to comply with data protection regimes that impose processor or fiduciary obligations, including the General Data Protection Regulation (GDPR). Genassistant does not assume the role of a data processor or controller under such frameworks unless expressly agreed in writing.
Genassistant is not your agent, representative, or fiduciary. The Service does not act on your behalf and does not send communications unless you explicitly authorize such action. Drafts, summaries, or recommendations generated by the Service are not transmitted to third parties unless and until you take action to send them or otherwise consent to their delivery.
You represent and warrant that you are not subject to economic or trade sanctions administered or enforced by the United States or any other applicable authority, and that you are not located in, organized under the laws of, or ordinarily resident in any country or region subject to comprehensive embargoes or sanctions. You agree not to access or use the Service in violation of applicable export control, sanctions, or trade laws.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, GENASSISTANT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
GENASSISTANT DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
GENASSISTANT DOES NOT GUARANTEE UPTIME, AVAILABILITY, OR DELIVERY OF DRAFTS, CLASSIFICATIONS, DIGESTS, NOTIFICATIONS, OR OTHER OUTPUTS. PROCESSING MAY BE DELAYED, INTERRUPTED, OR UNAVAILABLE DUE TO SYSTEM LIMITATIONS, MAINTENANCE, VIOLATION OF THESE OR AGREED UPON TERMS OF USAGE, OR EXTERNAL DEPENDENCIES.
GENASSISTANT IS NOT RESPONSIBLE FOR THE ACCURACY, COMPLETENESS, LEGALITY, OR RELIABILITY OF INFORMATION PROVIDED BY USERS OR THIRD-PARTY SERVICES THAT INTEGRATE WITH OR ARE ACCESSED THROUGH THE SERVICE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GENASSISTANT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.
IN NO EVENT SHALL GENASSISTANT'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE EXCEED THE AMOUNTS PAID BY YOU TO GENASSISTANT FOR THE SERVICE IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
FURTHERMORE, ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL BE RESOLVED THROUGH BINDING ARBITRATION ON AN INDIVIDUAL BASIS, AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU AND GENASSISTANT EACH WAIVE THE RIGHT TO PARTICIPATE IN A CLASS ACTION OR CLASS-WIDE ARBITRATION.
You agree to indemnify, defend, and hold harmless Genassistant from any claims, liabilities, damages, fines, penalties, and expenses arising out of or relating to:
These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws principles.
Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration on an individual basis, and not in a class, consolidated, or representative action. You and Genassistant each waive the right to participate in a class action or class-wide arbitration. Except that either party may seek injunctive or equitable relief in the state or federal courts located in Delaware to prevent unauthorized use or misuse of the Service or intellectual property.
Genassistant may provide notices to you by email, through the Service, or by posting updates to the Service or Genassistant's website, including updated Terms of Service. Notices will be deemed effective when sent or posted.
Genassistant may update these Terms from time to time. The most current version of these terms will be posted on Genassistant's website, and you may also receive notification when the terms are updated. Continued use of the Service after an update constitutes acceptance of the revised Terms.
If you have entered into a written Master Services Agreement or other enterprise agreement with Genassistant, that agreement governs in the event of any conflict with these Terms.
Usage limits may be enforced automatically. Excessive usage or overages may result in delayed processing, throttling, degradation of Service performance, or suspension, unless otherwise agreed in writing.
Genassistant has no obligation to retain, archive, or preserve any information except as expressly stated in these Terms or required by applicable law. Genassistant prefers data minimization and limited retention as general objectives to support security and privacy.
Genassistant shall not be liable for any failure or delay in performance resulting from events beyond its reasonable control, including acts of God, natural disasters, power or internet outages, labor disputes, governmental actions, or failures of third-party service providers.
Genassistant may assign or transfer these Terms, in whole or in part, without restriction. You may not assign these Terms without Genassistant's prior written consent.
Sections relating to disclaimers, limitation of liability, indemnification, dispute resolution, governing law, and any provisions which by their nature should survive, shall survive termination or expiration of these Terms.
Any feedback, suggestions, or ideas you provide regarding the Service may be used by Genassistant without restriction or obligation, and without compensation.
